1.  Presidente

El presidente llevará a cabo la supervisión general y la dirección de los asuntos de la asociación. El presidente tendrá el poder de nombrar comités que incluyan los comités permanentes, especiales o ad hoc que estén compuestos por miembros activos con derecho al voto y, por lo tanto, este será miembro nato de cada comité. El presidente tendrá la responsabilidad de firmar de manera conjunta con el director de finanzas todos los cheques y las autorizaciones de retiro de fondos corporativos. El director de reuniones llevará un registro completo y fiel de las actas de la Junta y de las asambleas anuales o extraordinarias de la membresía, mantendrá los registros de la corporación, manejará toda la correspondencia oficial de la asociación, supervisará las logísticas de todas las reuniones (incluídas las conferencias), será enlace a los comités de conferencias, y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

5.  Director de comunicación

El director de comunicación supervisará todo tipo de comunicación con la membresía y la comunidad en general, proveerá informes periódicos a la Junta de Directores sobre las comunicaciones, será enlace a los comités que traten con la comunicación a los miembros y a la comunidad en general y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

7.  Director de relaciones con la comunidad sorda

El director de relaciones con la comunidad sorda supervisará varios enlaces con organizaciones de la comunidad sorda, supervisará el apoyo y los esfuerzos de alcance a la comunidad sorda, será enlace y director del Consejo de Manos, proveerá informes periódicos a la Junta de Directores sobre el apoyo y los esfuerzos de alcance a la comunidad sorda, así como también de las actividades del Consejo de Manos y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

REGLAMENTO DEL RISPRI

Artículo IV.

Junta de Directores

Sección 1: Composición:

A. La Junta de Directores será compuesta por un presidente, un director de membresía, un director de reuniones, un director de finanzas, un director de comunicaciones, un director de desarrollo profesional y un director de relaciones con la comunidad sorda.

B. La Junta Ejecutiva será compuesta por el presidente, el director de membresía, el director de reuniones, el director de finanzas y el director de comunicaciones. 

Sección 2.  Poderes y limitaciones

A.   Poderes

1. Para designarles a los oficiales los poderes y los deberes consecuentes con la ley, los Artículos de Incorporación y este reglamento.

2.  Para realizar, administrar y controlar los asuntos y negocios del capítulo afiliado, así como crear reglas y regulaciones consecuentes con la ley, los Artículos de Incorporación y este reglamento.

3.  Para tomar dinero prestado o incurrir en endeudamiento para los fines de la asociación y a esos efectos causar que sean ejecutados y entregados a nombre de la corporación, bonos, títulos mobiliarios, escrituras de fideicomiso, hipotecas, garantías u otra evidencia de crédito. 

4.  Establecer o abolir relaciones con otras organizaciones.

B.  Limitaciones

1.  Los directores no podrán servir de manera concurrente como un funcionario electo en la Junta de Directores nacional del RID.

Sección 3.     Deberes

A.  Deberes generales

Se espera que la Junta de Directores:

1.  Lleve a cabo todos y cada uno de los deberes impuestos por la ley, los Artículos de Incorporación, este reglamento o lo que decida la membresía;

2.  Cree, adopte y use un sello y un logotipo corporativos, y que prescriba el diseño de las tarjetas de membresía;

3. Apruebe un presupuesto anual para el mantenimiento y el funcionamiento de esta asociación.

B. Oficiales

1.  Presidente

El director de membresía supervisará los servicios a la membresía, tales como reclutamiento, retención y registros de membresía; será enlace para los miembros de la organización; y proveerá reportes periódicos a la Junta de Directores sobre los servicios a la membresía. Además, el director de membresía será enlace y director del consejo de representantes y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

3.  Director de reuniones

4.  Director de finanzas

El director de finanzas supervisará los presupuestos para todos los programas (p. ej. comités, consejos, programas, etc.), supervisará el recibo y la custodia de todos los fondos de la corporación y los depositará en el banco o los bancos que sean designados por la Junta. El director de finanzas tendrá la responsabilidad de firmar de manera conjunta con el presidente y el director de membresía todos los cheques y las autorizaciones de retiro de fondos corporativos y le brindará informes financieros a la Junta de manera periódica. Además, el director de finanzas supervisará cualquier comité o grupo de trabajo que revise y audite el presupuesto, dirigirá los esfuerzos para la recaudación de fondos y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

5.  Director de comunicación

El director de comunicación supervisará todo tipo de comunicación con la membresía y la comunidad en general, proveerá informes periódicos a la Junta de Directores sobre las comunicaciones, será enlace a los comités que traten con la comunicación a los miembros y a la comunidad en general y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

6.  Director de desarrollo profesional

El director de desarrollo profesional supervisará los comités relacionados con el desarrollo profesional y la mentoría,  proveerá  informes periódicos a la Junta de Directores sobre las actividades de desarrollo profesional, se asegurará del cumplimiento con el Programa de Mantenimiento de Certificación y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

7.  Director de relaciones con la comunidad sorda

El director de relaciones con la comunidad sorda supervisará varios enlaces con organizaciones de la comunidad sorda, supervisará el apoyo y los esfuerzos de alcance a la comunidad sorda, será enlace y director del Consejo de Manos, proveerá informes periódicos a la Junta de Directores sobre el apoyo y los esfuerzos de alcance a la comunidad sorda, así como también de las actividades del Consejo de Manos y tendrá otros poderes y responsabilidades según se establezcan por la Junta o la membresía.

8.  Expresidente

El expresidente proveerá apoyo y asesorará al presidente y a la Junta de Directores en todas las funciones por el término de un (1) año. El expresidente no tendrá derecho al voto en la Junta de Directores, pero se le concederá el derecho de expresión.

9.  Presidente electo

El presidente electo podrá asistir a todas las reuniones de la Junta de Directores luego de haber sido elegido para dicho puesto. El presidente electo no tendrá derecho al voto en la Junta de Directores, pero se le concederá el derecho de expresión.

Sección 4.  Requisitos

Cada oficial que sirva en la Junta de Directores de la asociación deberá ser miembro de esta asociación. El director de relaciones con la comunidad sorda y todos los miembros del Consejo de Manos deben ser sordos. En adición, el presidente deberá haber sido un miembro de la asociación por lo menos dos (2) años antes de ejercer el puesto.

Sección 5.  Duración del mandato

A.  La duración del mandato para el presidente, el director de comunicación, el director de reuniones, el director de relaciones con la comunidad sorda será de dos años. Los términos comenzarán el primero de enero de los años pares. 

B.  La duración del mandato para el director de membresía, el director de desarrollo profesional, el director de finanzas y el Consejo de Miembros será de dos años. Los términos comenzarán el primero de enero de los años impares.

Sección 6.  Nominaciones y elecciones

A.  La convocatoria para las nominaciones se le informará a la membresía con por lo menos treinta (30) días antes de la elección.

B.  Los miembros que tengan interés en ser elegidos deberán ser miembros activos del capítulo afiliado, y ser nominados y secundados por miembros activos del capítulo afiliado.

C.  Los oficiales y los miembros de la Junta serán elegidos por miembros con derecho al voto de la asociación durante la asamblea anual que se celebra antes de que culmine el término del cargo. Los oficiales y los miembros de la Junta recién electos comenzarán el término de su cargo el 1 de enero del año siguiente de dicha elección.

Sección 7.  Vacantes

Las vacantes en la Junta de Directores se producirán debido a renuncias, remoción o muerte de cualquier oficial, o cuando el número de los puestos en la Junta aumente por enmiendas a este reglamento o a los estatutos de la corporación.

A.  Renuncia

Cualquier oficial o miembro de la Junta puede renunciar con al menos dos (2) semanas de anticipación por medio de una notificación escrita entregada al presidente o al director de reuniones.

B.  Nombramiento para llenar una vacante

Cualquier vacante que ocurra en la Junta puede llenarse por un voto afirmativo de la mayoría de los directores restantes.

C.  Puestos por nombramiento

Las personas nombradas para llenar una vacante ocuparán el puesto por el resto del término de su predecesor.

Sección 8.  Reunión de directores

A.   La Junta de Directores se reunirá al menos cuatro (4) veces por año en las fechas y en los lugares seleccionados por la Junta.

B.  La agenda de reuniones de la Junta deberá ser preparada por el presidente y distribuida a los miembros al menos una (1) semana antes de la reunión.

C.  Las reuniones de la Junta serán presididas por el presidente o, en su ausencia, por el director de membresía.

D.   Todas las reuniones de la Junta serán abiertas a la membresía y a invitados, a menos que la Junta de Directores decida lo contrario.

E.  Las reuniones de la Junta serán interpretadas bajo petición. Las peticiones para que las reuniones se interpreten deberán hacerse al menos dos (2) semanas antes de la fecha de la reunión. Las peticiones que se hagan con menos de dos (2) semanas de anticipación se honrarán si es posible, pero el servicio no será garantizado.

F.  El presidente podrá convocar a la Junta de Directores para reuniones extraordinarias siempre que lo estime necesario. Los miembros deberán ser notificados con diez (10) días de anticipación.

G.  Cualquier reunión, ya sea regular o extraordinaria, con la mayoría de la Junta presente podrá, sujeto a la aprobación de la Junta, celebrarse por una llamada de conferencia o un medio similar de comunicación.

Sección 9.  Cuórum

Una mayoría de la Junta constituirá el cuórum para dar inicio a los asuntos a discutirse en cualquier reunión de la Junta. Si menos de la mayoría de los directores asiste a una reunión de la Junta, la reunión deberá suspenderse y reprogramarse.

Sección 10.  Compensación

Los miembros de la Junta de Directores del capítulo afiliado no recibirán compensación alguna por su servicio como directores.

1.  President

The President shall have general supervision and direction of the affairs of the association.  The President shall have the power to appoint committees, including standing, special and/or ad hoc, composed of voting members in good standing, as such, he or she shall be an ex officio member of every committee. The President shall have co-signature responsibility with the Director of the Treasury on all checks and warrants for the withdrawal of corporate funds. Furthermore, the President shall set the agenda and conduct all Board meetings, the annual business meeting(s), any special meetings of the membership, and have other powers and duties as prescribed by the board and/or the membership.

3.  Director of Meetings

The Director of Meetings shall keep a full and accurate record of the proceedings of the Board and annual and/or special business meetings of the membership, maintain the records of the corporation, handle all official correspondence of the corporation, oversee the logistics of all meetings (including conferences), serve as liaison to conference committees, and have other powers and duties as prescribed by the Board and/or the membership.

5.  Director of Communication

The Director of Communication shall oversee all manner of communication to the membership and the broader community, provide periodic reports on communications to the Board of Directors, serve as liaison to committees dealing with communication to the membership or the broader community, and have other powers and duties as prescribed by the Board and/or the membership.

7.  Director of Deaf Community Relations

The Director of Deaf Community Relations shall oversee various liaisons to Deaf community organizations, oversee the corporation’s advocacy and outreach efforts to the Deaf community, serve as the liaison and chair of the Council of Hands, provide periodic reports on advocacy and outreach efforts to the Deaf community as well as the activities of the Council of Hands to the Board of Directors, and have other powers and duties as prescribed by the board and/or the membership.

RISPRI BYLAWS

Article IV

Board of Directors

Section 1.  Composition

A.  The Board of Directors shall consist of a President, Director of Membership, Director of Meetings, Director of Finance, Director of Communication, Director of Professional Development, and a Director of Deaf Community Relations.

B.  The Executive Board shall consist of the President, Director of Membership, Director of Meetings, Director of Finance, and the Director of Communication.

Section 2.  Powers and Limitations

A.  Powers

1. To prescribe officers powers and duties consistent with the law, the Articles of Incorporation, and these Bylaws.

2.  To conduct, manage and control the affairs and business of the association and to make rules and regulations consistent with the law, the Articles of Incorporation and these Bylaws.

3.  To borrow money or incur indebtedness for the purposes of the association and for that purpose to cause to be executed and delivered in the corporate name, bonds, debentures, deeds of trust, mortgages, pledges, or other evidence of debt.

4.  To establish/abolish liaisons with other organizations.

B.  Limitations

1.  Directors shall not concurrently serve as an elected officer on the national Board of Directors of RID.

Section 3.  Duties

A.  General Duties

The Board of Directors is expected to:

1.  Perform any and all duties imposed on them by the law, the Articles of Incorporation, these Bylaws, or as directed by the membership;

2.  Adopt, make and use a corporate seal, corporate logo, and to prescribe the form of membership cards;

3.  Approve an annual budget for the maintenance and operation of this association.

B. Officers

1.  President

The President shall have general supervision and direction of the affairs of the association.  The President shall have the power to appoint committees, including standing, special and/or ad hoc, composed of voting members in good standing, as such, he or she shall be an ex officio member of every committee. The President shall have co-signature responsibility with the Director of Finance on all checks and warrants for the withdrawal of corporate funds. Furthermore, the President shall set the agenda and conduct all Board meetings, the annual business meeting(s), any special meetings of the membership, and have other powers and duties as prescribed by the board and/or the membership.

2.  Director of Membership

In the absence of the President, The Director of Membership shall perform all the duties of the President and in so acting, shall have all the powers of the President, including co-signature responsibility with the President and Director of Finance on all checks and warrants for the withdrawal of corporate funds. The Director of Membership shall oversee membership services, such as recruitment, retention, and membership records, serve as the liaison to organizational members, provide periodic reports on membership services to the Board of Directors. Furthermore, the Director of Membership shall serve as liaison and chair of the Council of Representatives and have other powers and duties as prescribed by the board and/or the membership.

3.  Director of Meetings

The Director of Meetings shall keep a full and accurate record of the proceedings of the Board and annual and/or special business meetings of the membership, maintain the records of the corporation, handle all official correspondence of the corporation, oversee the logistics of all meetings (including conferences), serve as liaison to conference committees, and have other powers and duties as prescribed by the Board and/or the membership.

4.  Director of Finance

The Director of Finance shall oversee the budgets for all programs (e.g. committees, councils, programs, etc.), supervise the receipt and safekeeping of all funds of the corporation and deposit them in the bank or banks that may be designated by the Board. The Director of Finance will have co-signature responsibility with the President and the Director of Membership for signing checks and warrants for the withdrawal of corporate funds, provide periodic reports on financial standing to the Board of Directors.  Furthermore, the Director of Finance shall oversee any committee and workgroups that review and audit the budget, direct fundraising efforts, and have other powers and duties as prescribed by the board and/or the membership. 

5.  Director of Communication

The Director of Communication shall oversee all manner of communication to the membership and the broader community, provide periodic reports on communications to the Board of Directors, serve as liaison to committees dealing with communication to the membership or the broader community, and have other powers and duties as prescribed by the Board and/or the membership.

6.  Director of Professional Development

The Director of Professional Development shall oversee committees related to professional development and mentorship, provide periodic reports on professional development activities to the Board of Directors, ensure compliance with the Certification Maintenance Program, and have other powers and duties as prescribed by the Board and/or the membership.

7.  Director of Deaf Community Relations

The Director of Deaf Community Relations shall oversee various liaisons to Deaf community organizations, oversee the corporation’s advocacy and outreach efforts to the Deaf community, serve as the liaison and chair of the Council of Hands, provide periodic reports on advocacy and outreach efforts to the Deaf community as well as the activities of the Council of Hands to the Board of Directors, and have other powers and duties as prescribed by the board and/or the membership.

8.  Past President

The Past President may provide support and advise the President and the Board of Directors in all functions for the term of one (1) year. The Past President shall not have a vote on the Board of Directors but shall be allowed the right of expression.

9.  President Elect

The President Elect may attend all Board of Director meetings after having been elected to the position. The President Elect shall not have a vote on the Board of Directors but shall be allowed the right of expression.

Section 4.  Qualifications

Each officer serving on the Board of Directors of the corporation must be a member of this association.  The Director of Deaf Community Relations and all members of the Council of Hands must be Deaf.  In addition, the President shall have been a member of the corporation for at least two (2) years prior to serving.

Section 5.  Terms of Office

A.  Terms of office for the President, Director of Communication, Director of Meetings, and the Director of Deaf Community Relations shall be two (2) years. Terms shall commence on January 1 of even numbered years.

B.  Terms of office for the Director of Membership, Director of Professional Development, Director of Finance, and the Council of Members shall be two (2) years. Terms shall commence on January 1 of odd numbered years.

 

Section 6.  Nominations and Elections

A.  A call for nominations shall be made to the membership no less than thirty (30) days prior to an election.

B.  Members seeking election must be members in good standing of the association; and be nominated and seconded by members in good standing of the association.

C.  Officers and Board Members shall be elected by voting members of the association during the annual business meeting preceding the expiration of the term of office. Newly elected Officers and Board Members shall commence their term of office on January 1st of the year immediately following said election.

Section 7.  Vacancies

Vacancies on the Board of Directors shall occur upon resignation, removal, or death of any Officer or when the number of Board positions is increased by amendments to these Bylaws or the Charter of the corporation.

A.  Resignation

Any Officer or Board Member may resign upon giving at least two (2) weeks prior written notice to the President or the Director of Meetings.

B.  Appointment to Fill a Vacancy

Any vacancy occurring on the Board may be filled by affirmative vote of a majority of the remaining directors.

C.  Appointed Positions

Individuals appointed to fill a vacancy shall be appointed for the remainder of the term of their predecessor.

Section 8.  Meeting of Directors

A.  The Board of Directors shall meet at least four (4) times annually on dates and at locations selected by the Board.

B.  The agenda of Board meetings shall be prepared by the President and distributed to the Board members at least one (1) week prior to the meeting.

C.  Meetings of the Board shall be presided over by the President or, in the absence of the President, by the Director of Membership.

D.  All Board meetings will be open to the membership and/or visitors, unless otherwise designated by the Board of Directors.

E.  Board meetings will be interpreted upon request. Requests for interpreters must be placed at least two (2) weeks prior to the meeting date. Requests placed less than two (2) weeks before the meeting will be honored if possible, but cannot be guaranteed.

F.  The President may convene the Board of Directors for special meetings whenever it is deemed necessary. The members must be notified ten (10) business days before such meetings.

G.  Any meeting, regular or special, with a majority of the Board present may, subject to Board approval, be held by conference call or similar communication equipment.

Section 9.  Quorum

A majority of the Board shall constitute a quorum for the transaction of business at any meeting of the Board. Should less than a majority of Directors attend a Board meeting, the meeting shall be adjourned and rescheduled.

Section 10.  Compensation

The members of the Board of Directors of the association shall receive no compensation for their service as Directors.
